shoppin' terms of service

welcome to shoppin'. this document is an electronic record in terms of information technology act, 2000 and published in accordance with the provisions of rule 3 of the information technology (intermediaries guidelines) rules, 2011 that require publishing the rules and regulations, privacy policy and terms of use for access or usage of shoppin' platform - www.shoppin.app (hereinafter referred to as "platform").

the platform is owned and operated by SHOPPIN' COMMERCE TECHNOLOGIES PRIVATE LIMITED, having its registered office at 7th floor, JMG Towers, 870, near trident hotel, phase v, udyog vihar, sector 19, gurugram 122016, haryana, india.

your use of the platform and the services and tools offered through it are governed by the following terms and conditions ("terms of use") as applicable to shoppin', including the applicable policies which are incorporated herein by way of reference. by mere use of the platform, or by placing an order, you shall be contracting with SHOPPIN' COMMERCE TECHNOLOGIES PRIVATE LIMITED, the owner of the platform. these terms and conditions, including the policies, constitute your binding obligations with shoppin'.

for the purpose of these terms of use, wherever the context so requires, "you" or "user" shall mean any natural or legal person who uses the platform or places an order, whether as a guest or as a registered user. the terms "shoppin'", "we", "us", "our" shall mean SHOPPIN' COMMERCE TECHNOLOGIES PRIVATE LIMITED and its affiliates.

unless the context requires otherwise, "product" means a made-to-order, hand-stitched item that we produce based on your order and selections, and "order" means your request to purchase a product submitted through the platform.

1. eligibility

you must be at least 13 years of age to use the platform. if you are below the age of majority in your jurisdiction (18 years in india), you may use the platform and place an order only with the involvement and consent of your parent or legal guardian, who accepts responsibility for the order. by using the platform you confirm that you meet these requirements and that the information you provide is accurate.

2. user account, password, and security

you do not need an account to place an order. you may check out as a guest. after placing an order, you may log in or create an account to view your order details and track its status.

if you create an account, you shall be responsible for maintaining the confidentiality of your login credentials and you shall be responsible for all activities that occur under your account. you agree that if you provide any information that is untrue, inaccurate, not current or incomplete, or not in accordance with these terms of use, we shall have the right to indefinitely suspend, terminate or block your access to the platform.

if there is reason to believe that there is likely to be a breach of security or misuse of your account, we may request you to change your password or we may suspend your account without any liability to shoppin', for such period of time as we deem appropriate in the circumstances. we shall not be liable for any loss or damage arising from your failure to comply with this provision. if your account is suspended due to suspected violations, you may contact us to seek clarification or request a review, and shoppin' will, in its sole discretion, determine whether to reinstate your account.

in the event of a device being associated with multiple logins or sign ups, as a measure to enhance security and privacy and to safeguard sensitive information from potential risks, shoppin' may consider moderating users and their association with devices while using the shoppin' app or website.

your mobile phone number is treated as your primary identifier on the platform. it is your responsibility to keep your mobile phone number up to date at all times, and to notify us promptly of any change, which may require otp verification. while your email address may also be associated with your account for communication purposes, ensuring your mobile phone number is current is crucial for account security and primary identification. shoppin' shall not be liable for the consequences of any use or misuse of information that occurs under your account, including where you have failed to update a revised mobile phone number. you agree to immediately notify shoppin' at support@shoppin.app of any unauthorized use or breach of your account or order.

by creating an account, placing an order, or signing in to the platform, you consent to receive communications from us, including transactional, service-related, and promotional messages, via whatsapp and other electronic means. you acknowledge that you are opting in to these communications by default as part of using our services. you may manage your communication preferences or opt out of promotional communications by contacting us at support@shoppin.app, or by following the unsubscribe instructions in such communications.

if you have not accessed the platform for a period of 2 (two) years, your data (including transactional data) may be deleted from our records and you will not be able to access such data.

3. services offered

shoppin' is an ai-powered fashion platform that allows you to search for styles, view virtual try-ons, design looks, and order hand-stitched, made-to-order apparel that we craft individually for you.

unlike a discovery-only service, shoppin' is the seller of the products offered for sale through the platform. we accept your order, source the fabric, hand-stitch the product, and arrange its dispatch and delivery to you. we process payments through our payment providers and arrange shipping, duties, and customs clearance as described in these terms.

we may show you styles, looks, and recommendations that we think are relevant to you based on your activity and preferences. for more information on how we use your data, please read our privacy policy.

shoppin' does not warrant that any product description, price, preview, or other content on the platform is accurate, complete, reliable, current, or error-free, and assumes no liability in this regard, except as expressly required by law.

4. orders and order acceptance

to place an order, you find a product, select your size, and either add it to your bag or buy it directly from the product page. payment is taken in full at checkout (see clause 6). submitting an order constitutes an offer to purchase the product on these terms of use. you may order as a guest; an account is not required.

your order is not accepted until we confirm it. we may decline or cancel an order before production begins, including where we cannot source suitable fabric, where your selections are unclear or unworkable, where there is an error in pricing or description, or where we suspect fraud or misuse. if we decline an order you have already paid for, we will refund the amount paid for that order.

you are responsible for ensuring that the design, size, and other selections in your order are correct before you submit it.

5. made-to-order production

every product is hand-stitched to order. we do not hold stock, and production does not begin until your order is confirmed and paid for. our process is:

• order received: we confirm your order and selections;
• fabric sourcing: we source the fabric and materials for your product;
• stitching: we hand-stitch your product;
• completion and quality check;
• dispatch; and
• delivery.

because each product is made by hand from sourced materials:

• lead times: each product is made and delivered within an estimated 15-20 days from order confirmation. this window covers sourcing, hand-stitching, dispatch, and delivery. it is an estimate, not a guarantee, and may be affected by fabric availability, courier delays, or other factors outside our control.
• natural variation: hand-stitched products and natural fabrics may show minor variation in colour, texture, weave, or finish from images shown on the platform, including ai-generated previews. such variation is normal and is not a defect. shoppin' disclaims any guarantee of exactness as to the finish, appearance, size, or colour of the final product.
• material availability: if we cannot source the exact fabric, we may contact you to offer a comparable alternative or, if you prefer, cancel and refund the affected order.

6. pricing, payment, and taxes

prices are displayed in your local currency based on your location, where supported (including inr, usd, and a wide range of other currencies), and may change at any time before your order is accepted.

payment is due in full at the time of checkout. we accept paypal, google pay, apple pay, and stripe. payments are processed by these third-party payment providers; we do not store or receive your full payment card details.

if a price or description is shown in error, we may cancel the affected order and refund any amount paid, even after confirmation.

7. shipping, duties, and delivery

we ship worldwide. available destinations and shipping costs are shown at checkout based on your location.

shipping, duties, import taxes, and customs clearance are arranged and handled by us through our global delivery partner. you will not be charged separate customs duties or import charges on delivery. customs processing can occasionally cause delays that are outside our control.

delivery timeframes are estimates. the total estimated time from order confirmation to delivery is 15-20 days, covering production, dispatch, and shipping. risk of loss passes to you on delivery, and title to the product passes once payment is received in full. if a product is lost or damaged in transit, please contact us at support@shoppin.app as soon as possible so we can investigate with the carrier. for damaged products, see clause 9.

8. cancellations and changes

because products are custom-made to order:

• you may cancel your order free of charge within 10 (ten) minutes of placing it, by contacting us or using any cancellation option provided. within this window we have not yet committed materials to your order.
• after 10 (ten) minutes, production may begin and your order cannot be cancelled, changed, or refunded, as materials are committed and the work is custom to you.

this reflects that made-to-order and custom goods are generally not subject to standard cancellation or cooling-off return rights. nothing in this clause affects any rights that cannot be excluded under applicable consumer-protection law.

9. returns, refunds, and damaged items

all sales are final. because every product is hand-stitched to order, we do not accept returns or exchanges and do not offer alterations, except for damaged items as set out below or as required by applicable law.

damaged items: if your product arrives damaged, you may claim a refund as follows:

• you must record and provide a continuous unboxing video that clearly shows the sealed package being opened and the damage to the product. the video is required as proof of the damage.
• if we verify the damage from your video, we will refund the full amount paid for that product to your original payment method within 5-10 business days.
• in this case you may keep the product (you do not need to ship it back) and you will still receive the refund.

nothing in these terms of use limits any rights you have that cannot be excluded under the consumer-protection laws of your jurisdiction, including, in india, the consumer protection act, 2019 and the rules made under it.

10. sizing and fit

because products are made to order, we produce your product in the size you select. you are responsible for choosing the correct size, and we recommend following any size guide or guidance we provide before ordering. we are not responsible for fit issues caused by an incorrect size selection, and we do not offer alterations, exchanges, or returns for fit or sizing reasons. please choose your size carefully before ordering.

11. virtual try-on, ai features, and user content

certain features of the platform use machine learning and generative technology, including ai fashion search, virtual try-on, and the design / "imagine" tools (together, "ai features"). ai features produce results algorithmically and may be inaccurate, incomplete, or unexpected. virtual try-on and design previews are visual approximations only and do not guarantee the actual fit, colour, texture, or appearance of the hand-stitched product you receive. you should review your final order selections carefully before purchasing and should not rely on an ai preview alone.

you retain ownership of any content you upload, submit, or generate, including photographs you provide for virtual try-on and the selections you provide ("user content"). by submitting user content, you grant shoppin' a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, process, and display that content solely as needed to operate the platform and to design, produce, and deliver your order. we do not use your uploaded photographs to train ai models or for marketing without your separate, explicit consent.

you represent and warrant that you own or have the rights to the user content you submit, that it does not infringe any third party's rights or violate any law, and that any photograph you upload either depicts you or is one you are authorized to use, and that you have the consent of any other identifiable person shown. how we handle your photographs and order details is described in our privacy policy.

12. user conduct and rules on the platform

you agree, undertake, and confirm that your use of the platform shall be strictly governed by the following binding principles:

• a user may be considered fraudulent if, among other things, they misuse another user's phone or email, use an invalid address, email, or phone number, or conduct activities with the sole intention of causing loss to the business or revenue of shoppin'.
• you shall not use the platform for any unlawful or fraudulent purpose, or in any manner that causes annoyance or inconvenience, abuses any policy or rule of the company, or interrupts, damages, or impairs the use of the platform by other users.
• you shall not use any false email address, impersonate any person or entity, or otherwise mislead shoppin' by sharing multiple addresses and phone numbers or transacting with malafide intentions.
• you shall not use any "deep-link", "page-scrape", "robot", "spider", or other automatic device, program, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the platform. we reserve the right to bar any such activity.
• you shall not attempt to gain unauthorized access to any portion or feature of the platform, or any systems or networks connected to the platform, by hacking, password "mining", or any other illegitimate means.
• you shall not order any product that infringes a third party's intellectual property rights, including any counterfeit of a protected design or trademark, and you are solely responsible for ensuring that any design or selection you ask us to produce does not infringe another party's rights.
• you shall at all times comply with the applicable provisions of the information technology act, 2000 and the rules thereunder, and all other applicable laws, rules, and regulations regarding your use of our services.
• shoppin' may unilaterally terminate your account in any event mentioned in this clause 12.

13. intellectual property infringement & notice

if you believe content on shoppin' infringes your copyright or other intellectual property rights, please notify us using the contact information below. your notice must include:

• a description of the copyrighted work or other intellectual property you claim is being infringed;
• a description of the material you claim is infringing and sufficient detail for us to locate it on the platform;
• your full name, address, telephone number, and email address;
• a statement that you have a good-faith belief that the use is not authorized by the ip owner, its agent, or the law; and
• a statement, under penalty of perjury, that the above information is accurate and that you are authorized to act on behalf of the owner of the intellectual property allegedly infringed.

14. trademark, copyright, and restriction

the platform is controlled and operated by shoppin', and the products offered for sale are produced by shoppin'. all material on the platform, including images, illustrations, audio clips, and video clips, is protected by copyrights, trademarks, and other intellectual property rights owned by shoppin' or its licensors. material on shoppin' is solely for your personal, non-commercial use. you must not copy, reproduce, republish, upload, post, transmit, or distribute such material in any way without our prior written consent, and you must not assist any other person to do so. any use for which you receive remuneration is a commercial use for the purposes of this clause and is prohibited.

it is expressly clarified that you retain ownership of any user content you upload, and that you grant shoppin' the licence described in clause 11 for the limited purposes set out there.

15. disclaimer of warranties and liability

all materials and services made available through the platform are provided on an "as is" and "as available" basis, without representation or warranty of any kind, express or implied, except as explicitly stated in writing or as required by law. without limiting the foregoing, shoppin' does not warrant that the platform will be uninterrupted or error-free, or that any preview, recommendation, price, or other information will be complete, accurate, or reliable. any reliance you place on information obtained through shoppin' is at your own risk. this clause does not exclude any statutory guarantees applicable to the products that cannot be excluded under applicable law.

16. indemnity

you shall indemnify and hold harmless shoppin', its owner, affiliates, subsidiaries, and their respective officers, directors, agents, and employees, from any claim, demand, or action, including reasonable attorneys' fees, made by any third party or any penalty imposed, due to or arising out of your breach of these terms of use, the privacy policy, or any other policy, your user content or selections, or your violation of any law, rule, or regulation or the rights (including intellectual property rights) of a third party.

17. limitation of liability

in no event shall shoppin' be liable for any indirect, punitive, incidental, special, or consequential damages, or any other damages resulting from: the use of or inability to use the services or products; unauthorized access to or alteration of your transmissions or data; or any other matter relating to the services, including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the platform or service.

shoppin' shall not be held responsible for non-availability of the platform during periodic maintenance or any unplanned suspension of access. to the maximum extent permissible under law, shoppin's total aggregate liability for any claim relating to an order shall be limited to an amount equal to the value of the product purchased by you for that order.

18. termination

shoppin' may suspend or terminate your use of the platform or any service if it believes, in its sole and absolute discretion, that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these terms of use, or otherwise acted unethically. termination does not affect orders already accepted, which remain governed by these terms of use.

• if you or shoppin' terminates your use of the platform, shoppin' may delete any content or materials relating to your use of the service, and shoppin' will have no liability to you or any third party for doing so.
• if you use any false email address, or use the platform for any unlawful or fraudulent purpose, or mislead shoppin' by sharing multiple addresses and phone numbers or transacting with malafide intentions, shoppin' reserves the right to refuse access to the platform and terminate accounts, including any linked accounts, without notice to you.

19. dispute resolution & arbitration

19.1 informal resolution

before initiating any formal dispute resolution, you agree to contact us at support@shoppin.app so we can try in good faith to resolve the issue informally.

19.2 agreement to arbitrate

except as set forth below, any dispute, claim, or controversy relating to these terms or your use of the platform shall be settled by binding arbitration administered by the institution of arbitration, mediation and conciliation, hyderabad (IAMC), in accordance with its rules. judgment on any arbitral award may be entered in any court with proper jurisdiction.

19.3 class action waiver

you agree to resolve any disputes with us on an individual basis only and not as part of any class or consolidated action. you expressly waive any right to participate in class actions, class arbitrations, or representative actions.

19.4 exceptions

you may bring individual claims in small-claims court if they qualify. nothing here shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to preserve the status quo pending arbitration.

20. governing law

these terms shall be governed by and construed in accordance with the laws of india without reference to conflict of laws principles, and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts, tribunals, and applicable authorities in haryana, india. mandatory consumer-protection rights available to you in your country of residence are not affected by this clause.
